Terms & Conditions
Welcome to EcoTerra Plants. These Terms & Conditions govern the relationship between EcoTerra Plants (referred to as “Contractor,” “we,” or “our”) and the Client. By engaging our services, the Client agrees to the following terms:
1. Services
EcoTerra Plants specializes in the design and installation of preserved moss, live moss, living plant walls, and artificial greenery. Our services are customized to meet the unique needs of each Client. Any additional services or changes to the scope of work must be agreed upon in writing.
2. Site Conditions
The Client agrees to provide the Contractor with safe and reasonable access to the installation site. This includes access to electrical power, water, and other necessary resources. The Client is responsible for ensuring that the site is safe for installation and compliant with any applicable local regulations.
3. Warranty
EcoTerra Plants warrants that all services provided under this agreement will be performed in a professional, workmanlike manner in accordance with industry standards. In the event of any defects, we will correct such defects at no cost to the Client, provided that written notice is received within a reasonable time after completion of the project.
4. Limitation of Liability
EcoTerra Plants assumes no liability for damages or injuries sustained on the work site, except in cases of gross negligence or intentional misconduct. The Client agrees to indemnify and hold EcoTerra Plants harmless from any claims arising from the project, except in cases of gross negligence or misconduct by the Contractor.
5. Intellectual Property
EcoTerra Plants represents and warrants that it has the right to install the specified art pieces. The Client agrees to indemnify and hold EcoTerra Plants harmless from any claims of intellectual property infringement related to the installation.
6. Photography Rights
Both the Contractor and Client reserve the right to photograph the completed project. These images may be used for promotional, marketing, and advertising purposes. By agreeing to these terms, the Client waives any rights of privacy or publicity concerning the photographs.
7. Company Trademark
EcoTerra Plants reserves the right to include its logo in the design created for the Client, where appropriate. The logo will be incorporated in a way that aligns with the overall design and aesthetic of the project.
8. Payment Terms
A deposit is required before commencing the project, with the remaining balance due upon completion. Invoices not paid within the specified terms may incur late fees. Changes to the project scope may result in additional charges, which will be discussed and agreed upon in writing.
9. Force Majeure
EcoTerra Plants is not liable for any delays or failure to perform due to circumstances beyond its control, such as natural disasters, pandemics, or other unforeseen events. The Contractor will notify the Client promptly in such cases.
10. Changes & Modifications
Any modifications to the scope of the project, pricing, or timeline must be agreed upon in writing by both parties. This includes changes requested by the Client during the installation process.
11. Termination
Either party may terminate the agreement by providing written notice. If the Client terminates the project after work has begun, the Client may be responsible for any incurred costs, including materials, labor, and other expenses up to the date of termination.
12. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached, disputes may be settled by arbitration in accordance with the rules of the American Arbitration Association (AAA).
13. Environmental Impact
The Client is responsible for ensuring that any local regulations, permits, or environmental requirements are met at the installation site. EcoTerra Plants is committed to using non-toxic, eco-friendly materials but cannot be held responsible for regulatory compliance.
14. Governing Law
This agreement is governed by the laws of the state of California under the Uniform Commercial Code (UCC) Title 2.5, Section 2207.
